1. Acceptance of Terms

Welcome to Viprasol Tech Private Limited ("Viprasol," "we," "our," or "us"). By accessing or using our website and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you and Viprasol Tech Private Limited (CIN: U62090HR2025PTC135188), a company incorporated under the laws of India.

2. Services

Viprasol provides technology solutions including web development, mobile application development, cloud solutions, and consulting services. The specific scope, deliverables, timelines, and pricing for each project will be outlined in separate project agreements or statements of work.

3. User Obligations

You agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your account credentials
• Use our services only for lawful purposes
• Not interfere with or disrupt our services
• Not attempt to gain unauthorized access to our systems
• Comply with all applicable laws and regulations
• Respect intellectual property rights

4. Intellectual Property Rights

4.1 Our Intellectual Property

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Viprasol or its licensors and are protected by copyright, trademark, and other intellectual property laws.

4.2 Project Deliverables

Ownership of project deliverables will be specified in individual project agreements. Unless otherwise agreed in writing, upon full payment, you will receive the agreed-upon rights to use the deliverables as specified in the project agreement.

5. Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• Payment schedules and milestones will be agreed upon in advance
• Invoices are due within the specified payment period
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise specified

6. Project Scope and Changes

The scope of work for each project will be defined in a separate agreement. Any changes to the agreed scope may result in additional charges and timeline adjustments. All scope changes must be approved in writing by both parties.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our services will be performed with reasonable skill and care in accordance with industry standards. Any warranty claims must be made within the warranty period specified in your project agreement.

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN YOUR PROJECT AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIPRASOL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim during the twelve (12) months preceding the claim.

9. Confidentiality

Both parties agree to maintain the confidentiality of any confidential information disclosed during the course of the engagement. This obligation survives the termination of our agreement.

10. Termination

Either party may terminate a project agreement as specified in that agreement. We reserve the right to suspend or terminate your access to our services if you violate these Terms or engage in fraudulent or illegal activities.

11. Indemnification

You agree to indemnify and hold harmless Viprasol, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services or violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. The courts of Jind, Haryana, India shall have exclusive jurisdiction over any disputes arising from these Terms.

Prior to initiating legal proceedings, parties agree to attempt to resolve disputes through good faith negotiations.

13. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the effective date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with any project agreements, constitute the entire agreement between you and Viprasol regarding our services and supersede all prior agreements and understandings.
